We are seeking an experienced U.S. Tax professional with expertise in international taxation and cross-border tax matters to advise on our New Mexico LLC’s U.S. Tax compliance. Our LLC is owned by two co-founders based in Argentina. We provide service-based income and are classified as a pass-through entity for U.S. Tax purposes. There is no physical presence, office, or U.S. Residency, and less than 50% of our clients are U.S.-Based. Our primary filing requirement is Form 1065, and we need guidance on properly documenting our operations to clarify that our income is foreign-sourced and not subject to U.S. Taxation.

Responsibilities:

Review and Advisory:

Analyze our LLC’s operational structure and service activities.
Advise on the proper filing of Form 1065, including any necessary explanatory statements or attachments to clarify the absence of a U.S. Trade or business.
Compliance & Documentation:

Ensure compliance with all U.S. IRS filing requirements for partnerships.
Provide guidance on related documentation, such as Schedule K-1 preparation and any additional reports if needed.
Advise on New Mexico state-level obligations (e.g., The annual $50 franchise tax) and related filings.
International Tax Considerations:

Evaluate potential U.S. Tax implications under domestic law for foreign-owned entities.
Discuss any considerations regarding the non-existence of a U.S.–Argentina tax treaty and potential double taxation scenarios.
Recommend strategies to mitigate any future tax risks if our operations or service sourcing changes.
Ongoing Support:

Offer insights on best practices for record-keeping and IRS communications.
Provide recommendations for maintaining compliance and preparing for any future U.S. Tax requirements that might arise.
Requirements:

Proven experience in U.S. Taxation, particularly for foreign-owned entities and pass-through LLCs.
Expertise in international tax issues and cross-border taxation.
Familiarity with U.S. IRS forms, including Form 1065, Schedule K-1, and any additional documentation relevant to nonresident-owned partnerships.
Knowledge of New Mexico state tax regulations, especially concerning LLC franchise taxes.
Strong communication skills in English; Spanish proficiency is a plus.
Ability to provide clear, actionable advice tailored to a small business with international operations.
