We are a cross-border law firm seeking a highly skilled and experienced Bilingual Corporate Paralegal to join our fully remote team. Our firm specializes in US corporate and transactional work, assisting both Mexican clients investing in the us and us clients investing in mexico. This role requires a professional with a strong background in corporate law and cross-border transactions.

Key Responsibilities:

Assist in entity formations, corporate governance, and ongoing maintenance for both US and cross-border entities.
Draft and meticulously review a variety of corporate documents, including minutes, resolutions, bylaws, and operating agreements.
Prepare comprehensive due diligence checklists and accurately summarize findings for legal review.
Efficiently manage virtual data rooms and closing checklists to ensure smooth transaction execution.
Coordinate and oversee filings with relevant US state agencies, such as the Delaware Secretary of State.
Provide robust support for Mergers & Acquisitions (M&A) and financing transactions.

Requirements:

A law degree (Licenciatura en Derecho or equivalent) is strongly preferred.
Minimum of 3 years of proven experience as a corporate/transactional paralegal or legal assistant.
Exceptional proficiency in both English and Spanish, encompassing strong written and spoken communication skills.
Solid familiarity with US corporate law terminology and standard document formats.
Must be detail-oriented, proactive, and capable of working independently in a remote environment.

Compensation for this role is competitive and will be based on the candidate's experience. This position can be structured as either a full-time or part-time engagement.
